1. Overview
These Terms of Service ("Terms") govern your purchase of the OpenClaw Setup Service offered by Lucrabyte, a brand and DBA ("doing business as") of Black Tea Holdings LLC ("we," "us," or "our"). By completing a purchase you agree to be bound by these Terms.
2. Payment & Merchant of Record
All payments for the OpenClaw Setup Service are processed and accepted by KM Online Ventures LLC as the merchant of record. Payments are handled securely via Stripe. By purchasing you authorize a one-time charge of $99.00 USD.
You will receive a payment receipt from Stripe at the email address you provide. All prices are listed and charged in US dollars.
3. What Is Included
The one-time $99.00 setup fee covers our time to:
- Install OpenClaw on your Mac, Windows, or Linux machine (remotely and securely).
- Configure one AI provider (Anthropic Claude or OpenAI GPT) with your API keys.
- Connect up to 3 chat platforms for Personal plans (e.g. WhatsApp, Telegram, Discord) or full workspace integrations for Business plans.
- Set up persistent memory and personality via
soul.md. - Integrate calendar and email (Google or Apple).
- Conduct a 30-minute onboarding call to walk you through your new assistant.
- Provide post-setup email support for 7 days (Personal) or 14 days (Business).
4. What Is Not Included
The setup fee does not cover:
- AI model API costs (Anthropic Claude, OpenAI GPT, or other providers). These are billed directly to you by the provider, typically $10–$70/month depending on usage.
- VPS or server hosting costs if you choose to run OpenClaw 24/7 off your personal machine.
- OpenClaw software itself — it is free and open source.
- Ongoing maintenance or updates after the post-setup support period ends.
5. Refund Policy
You are entitled to a full refund in either of the following circumstances:
- No service provided — if we have not begun setup work and have not scheduled or conducted an onboarding call, you may request a full refund at any time.
- Within 24 hours of purchase — if you request a cancellation within 24 hours of completing payment, regardless of whether work has commenced, a full refund will be issued.
Outside of these two conditions, all sales are final and non-refundable once setup work has commenced.
To request a refund, contact us at hello@lucrabyte.com with your order number and reason. Approved refunds are processed within 5–10 business days to your original payment method.
6. Scheduling & Delivery
After payment you will receive a confirmation email with a link to schedule your initial call. Setup is typically completed within 3–7 business days of the initial call, depending on the complexity of your configuration and your availability.
Timelines may vary. We will communicate any delays promptly. Failure to complete an onboarding call within 30 days of purchase may result in forfeiture without refund.
7. Your Responsibilities
- Provide accurate information on the intake form.
- Ensure you have valid API keys for your chosen AI provider.
- Grant us remote access to your machine (via screen sharing or a tool such as Tailscale) during the setup session.
- Attend the scheduled onboarding call.
- Comply with the terms of service of OpenClaw and any AI providers you use.
8. Third-Party Software
OpenClaw is an open-source project maintained independently and is not owned or controlled by Black Tea Holdings LLC, KM Online Ventures LLC, or Lucrabyte. We provide a setup and configuration service only. We make no warranties regarding OpenClaw's functionality, uptime, or future development.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Black Tea Holdings LLC, KM Online Ventures LLC, and Lucrabyte shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this service. Our total liability for any claim arising from a purchase shall not exceed the amount paid for that purchase ($99.00 USD).
10. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
